Disputes over India's family business trusts

K.K. Modi's trust deed split his family into court cases, and his son accused his mother's side of having him assaulted at a board meeting

In 2014 the industrialist K.K. Modi signed a family trust deed naming his wife Bina and their children Lalit, Charu and Samir as trustees. Reports say the deed shared the inheritance equally among the four. If the trustees did not agree unanimously to keep running the trust, it would be dissolved and its assets sold. On his death Bina would become managing trustee. The family holds 50 percent of Godfrey Phillips India, reported to be worth more than 5,500 crore rupees. K.K. Modi died on 2 November 2019. Lalit Modi started an ICC arbitration in Singapore. Bina, Charu and Samir sued in the Delhi High Court to stop it, arguing that trust disputes cannot go to arbitration. The case reached the Supreme Court, which sent the family to mediation with two former judges in December 2021. That failed. In February 2024 Samir sued his mother, saying she had broken the trust deed and mishandled funds. On 30 May 2024, Samir alleged, he was blocked and assaulted while trying to enter a board meeting at the company's office. The charge sheet of 1 March 2025 named a security guard as the main accused, with Bina Modi and senior advocate Lalit Bhasin. In August 2024 the board did not reappoint Samir, and Charu took his seat. On 27 April 2026 the Delhi High Court quashed the assault case after Samir withdrew his complaint in a settlement whose terms were not disclosed.

What the law took from it

A trust that needs every child to agree gives each child a veto.
